Close the Loop Hackathon — Terms & Conditions of Participation

Organizer: A1 AI Inc. ("a1mobile", "we", "us").
Event: Close the Loop Hackathon — July 31, 2026 — Frontier Tower, 11th Floor, 995 Market Street, San Francisco, CA 94103.

By registering for and/or attending this event, you ("Participant", "you") agree to these Terms. If you do not agree, do not register.

1. Eligibility

You must be at least 18 years old. If you participate as part of an organization, you confirm you are authorized to do so and to accept these Terms on its behalf. Employees, contractors, and immediate family of the organizers and judging sponsors may attend but may not win prizes.

2. Recording, photography & media release

You acknowledge and agree that:

• The event, including your team's live demo, its audio, and its transcript, will be recorded for scoring, tie-breaking, and dispute resolution.
• The organizers and sponsors may capture photography, audio, and video of the event and attendees.
• You grant the organizers and sponsors a perpetual, worldwide, royalty-free license to use, reproduce, and distribute this recorded and captured material — including your name, likeness, voice, and team name — for promotional, educational, and archival purposes across any media.
• You waive any right to inspect or approve such use and any claim to compensation for it.
• If you do not want your likeness used in marketing (separate from the judging recordings, which are required to compete), notify an organizer in writing before the event and we will make reasonable efforts to exclude you from promotional material.
• Venue media: the event is held at Frontier Tower. Photography and videography may occur throughout the venue, and Frontier Tower and its staff may capture and use media featuring the venue for their own marketing and promotional purposes, subject to Frontier Tower's media policy.

3. Code of conduct

You agree to behave professionally and respectfully. Harassment, discrimination, hate speech, intimidation, or abusive behavior of any kind toward any participant, organizer, sponsor, or staff will not be tolerated. All participants must follow the event Code of Conduct. We may remove any Participant who violates it, without refund or prize eligibility, at our sole discretion.

4. Consent-based calling & lawful-use rules (mandatory)

The event involves software that can place phone calls and send SMS messages. To keep this legal, ethical, and fair, you agree that during the event you will:

• Only call or text a number that has completed the event's OTP verification (proving the recipient's consent) or an organizer-provided test line.
• No cold outreach — never call, message, or transact with a real third-party business, service, or person who has not opted in through that verification.
• Never initiate a real financial transaction, payment, or purchase on anyone's behalf without their authorization.
• Never use the provided numbers, credentials, or tools to send spam, harass, defraud, or contact anyone who has not consented.
• Comply with all applicable laws and with the acceptable-use policies of every tool and telecom service used.

Violation results in immediate disqualification and may result in removal from the event. You are solely responsible for any consequence of violating this section.

5. Sponsor tools, API keys & credentials

• Phone numbers, SIP credentials, team keys, sponsor API keys, and sandbox access are provided for use during this event only and remain the property of the organizers/sponsors.
• SMS sending is technically restricted to designated organizer/judge numbers; you agree not to attempt to circumvent this restriction.
• You will not share, resell, or retain these credentials after the event, and we may revoke them at any time.
• Use of any sponsor's tools or APIs (including a1mobile and VoiceOS) is additionally subject to that sponsor's own terms of service. a1mobile's Terms and Acceptable Use Policy are at /legal/terms.

6. Intellectual property

• You retain ownership of the original code and materials your team creates during the event ("Your Submission"), subject to the licenses of any open-source or third-party components you incorporate.
• You grant the organizers and judging sponsors a non-exclusive, worldwide, royalty-free license to review, run, record, and publicly reference Your Submission for the purposes of judging, promoting, and documenting the event.
• You represent that Your Submission does not infringe any third party's rights and does not include confidential or proprietary material you are not authorized to use.
• Anything built using a sponsor's MCP, SDK, or API may be subject to that sponsor's terms regarding derivative works.

7. Data & privacy

• To register and run the event we collect: your name, email, team information, and event submissions/telemetry (including judging-call recordings and transcripts).
• We use this data to operate the event, judge submissions, award prizes, and for event follow-up communications.
• Sponsor contact sharing: by registering you may opt in during registration to the organizers sharing your name and email with the event's judging sponsors (a1mobile, VoiceOS) for the purpose of event-related follow-up. This is optional and not required to participate.
• Registration data is handled by Luma under Luma's own privacy policy. a1mobile's privacy policy is at /legal/privacy.
• California privacy notice (CCPA/CPRA). This event is held in California and many attendees are California residents. For this event we collect these categories of personal information: identifiers (name, email, phone), professional/employment information (team, company), and audio/electronic information (judging-call recordings, transcripts, and event telemetry). We collect it to run and judge the event, award and pay prizes, and for event follow-up. We keep it only as long as needed for those purposes and applicable legal/tax requirements, then delete or de-identify it. We do not sell or "share" your personal information (as those terms are defined under the CCPA/CPRA). Subject to law, you have the right to: know/access the personal information we hold about you, request its deletion, request correction, and not be discriminated against for exercising these rights. To make a request, email support@a1mobile.com; we will verify your identity before responding. You may use an authorized agent to submit a request on your behalf.

8. Prizes

Prizes are awarded to winning teams at the judges' sole discretion; judging decisions are final. Each prize below is awarded per team (not per person); teams are responsible for dividing team prizes among their members.

• 1st place — USD $2,500 + 3 months a1mobile service + AI credits / subscription
• 2nd place — USD $1,000 + 2 months a1mobile service + AI credits / subscription
• 3rd place — USD $500 + 1 month a1mobile service + AI credits / subscription

• a1mobile service means an a1mobile business phone plan providing unlimited calls and texts. It does NOT include mobile data. The granted service is subject to a1mobile's Terms of Service and Acceptable Use Policy at /legal/terms — including the acceptable-use and SMS-messaging rules there. Service is non-transferable and provided for the stated number of months from activation.
• AI credits / subscription are model/API credits or a subscription from the event sponsor pool — the provider (for example Moonshot Kimi, Anthropic, or OpenAI), amount, and expiry will be specified at the event.
• Best on a1mobile, Best on VoiceOS, Most Human, and the Video Bonus are additional recognition awards; any associated prize will be described at the event. The video-bonus prize requires submission within 48 hours of the event's end per the instructions given at the event.
• Claiming a prize: we will contact winners after the event using the contact details from registration (email and/or phone). To claim a prize you must respond and complete any required verification and paperwork within 14 days of our first outreach; unclaimed prizes may be forfeited.
• Taxes & tax forms. You are responsible for any taxes on prizes you receive. Before a prize is paid or granted, winners must provide the required tax/identity documentation: a W-9 (US persons) or W-8BEN / W-8BEN-E (non-US persons). We will report prizes and withhold tax where required by law; the total fair-market value of a prize — cash plus the value of the a1mobile service and any AI credits — counts toward reportable prize income.
• How prizes are delivered: cash prizes are paid by mailed check or ACH transfer; the a1mobile service and AI credits / subscription are delivered as claim links sent to the winner. Prizes are typically sent within 30–60 days after the winner completes verification and required paperwork. Prizes are non-transferable and may not be exchanged for cash except as stated.
• We may substitute a prize of equal or greater value, or withhold a prize, if a winner is ineligible, cannot be verified, declines to provide required documentation, or violated these Terms.

9. Assumption of risk, waiver & limitation of liability

• Assumption of risk. You participate at your own risk, both online and in person at the venue (Frontier Tower, 11th Floor). You acknowledge that attending an in-person event carries risks including personal injury, illness, and loss of or damage to personal property, and you voluntarily assume all such risks.
• Waiver & release of claims. To the maximum extent permitted by law, you release, waive, and discharge the organizers, sponsors, the venue, and their respective officers, employees, and agents (the "Released Parties") from any and all claims, demands, or causes of action for personal injury, illness, death, or property loss or damage arising out of or related to your attendance or participation in the event, except to the extent caused by the Released Parties' gross negligence or willful misconduct. You are responsible for securing your own belongings and equipment.
• No warranty. The event, sandbox, tools, and sponsor APIs are provided "as is" and "as available", without warranty of any kind.
• Limitation of liability. To the maximum extent permitted by law, the Released Parties are not liable for any indirect, incidental, or consequential damages, or for any loss of data, credits, or API spend, arising from your participation. You are responsible for your own API usage and any associated costs if you use your own keys.
• Liability cap. This is a free event (no registration fee). The Released Parties' total aggregate liability to you for any claim relating to the event will not exceed USD $100. This cap does not apply to claims that cannot be limited or waived under California law (for example, gross negligence or willful misconduct).

10. Removal & disqualification

We may disqualify any submission or remove any Participant, without notice or refund, for violating these Terms, the code of conduct, the controlled-endpoint rules, or for any conduct we reasonably deem harmful to the event.

11. Changes

We may update the event format, schedule, rules, or these Terms. Material changes will be communicated to registered participants.

12. Indemnification

You agree to indemnify and hold harmless the organizers and sponsors from any claim, loss, liability, or expense (including reasonable prose fees) arising from: (a) your breach of these Terms — in particular the controlled-endpoint and lawful-use rules in §4 (e.g. any real-world call, text, or transaction you make in violation of them); (b) your use or misuse of the provided numbers, credentials, or tools; (c) your Submission infringing a third party's rights; or (d) your violation of any law. This section survives the end of the event.

13. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles, and any dispute will be subject to the courts located in San Francisco, California.

14. Event changes & cancellation (force majeure)

We may reschedule, modify, or cancel the event, in whole or in part, for any reason — including circumstances beyond our reasonable control (venue loss, weather, outage, illness, etc.). We are not liable for any cost or loss you incur if we do. Material changes will be communicated to registered participants.

15. General

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the referenced sponsor terms and privacy policies, are the entire agreement between you and the organizers regarding the event and supersede any prior understanding. Our failure to enforce any provision is not a waiver of it. Nothing here creates an employment, agency, partnership, or joint-venture relationship. Questions? Email support@a1mobile.com.
